The contract shall exist between Kennington Upholstery Ltd (“KUL”, “we”, “our”) and the client (“you”, “your”).
The contract will include only those instructions written into the order. Our quotations are valid for one calendar month from the date of issue.
1. Contract & Quotations
1.1 Any additional instructions must be confirmed in writing and a price agreed for the additional work and materials before the work can proceed. Additional work that may not be apparent when the original estimate was provided will be advised to the client on discovery, and a course of action agreed. This includes frame repairs that are hidden by upholstery.
1.2 We endeavour to deliver items forming part of this contract at the specified time. Our obligation, however, is to deliver on time provided that the materials required to complete the work are available when the work is to be undertaken. We will keep you informed at all times of supply problems or other factors that may affect delivery times.
1.3 If we indicate that a job can be completed on a specific date, please note this may vary by a few days either side. Exact completion dates cannot be guaranteed.
2. Materials & Fabrics
2.1 All old covers (fabric or leather) will be removed prior to re-upholstery. These covers will be discarded unless you advise that they are to be returned, and this instruction must be written into the order.
2.2 All new fillings applied to furniture manufactured after 1950 will comply with the Furniture and Furnishings (Fire) (Safety) Regulations 1988. All new covering fabric supplied by us will comply with the regulations, except covers containing 80% or more natural fibres, in which case an interliner complying with the regulations will be used. Furniture manufactured prior to 1950 does not fall within the scope of the 1988 Regulations regarding filling or cover.
2.3 When you supply your own materials, it is your responsibility to ensure the fabric is suitable for the intended purpose and complies with all relevant fire and safety regulations (as described in clause 2.2).
2.4We will do our best to advise on the suitability of fabrics, whether supplied from the brands we work with or otherwise. However, covering fabric supplied by the client is used at their own risk. Any shortage of covering fabric supplied by the client is the client's responsibility.
2.5 Where printed or woven fabrics cannot be pattern-matched accurately, we will inform you and seek further instructions before proceeding.
2.6 Fabrics sent directly to us must have your name clearly marked on the delivery note so we can verify, on your behalf, that the correct fabric has been received.
2.7 Please request that fabric suppliers roll all fabric on tubes, with no more than one fabric per tube. One continuous length of fabric should be used unless an additional amount is required for pattern matching. We will do our best to remove creases, but this cannot be guaranteed.
2.8 Kennington Upholstery cannot be held responsible for fabric flaws. If we are unable to cut around them, you will be notified before we proceed.
2.9 Any leftover fabric will be returned with your furniture upon completion. If you are an intermediary (agent, interior designer, or company) and require the fabric delivered to a different address, please specify this at the time of order; an additional delivery charge may apply. You may also request that leftover fabric is not returned.
3. Workshop, Visits & Delivery
3.1 All furniture and material deliveries or collections to and from our workshop must be arranged with the team in advance and confirmed in writing, so that we can schedule them according to our work programme and available space. Items arriving without prior arrangement may not be accepted.
3.2 If you wish to visit us to discuss a project or browse our fabric library, please contact us in advance so we can schedule the appointment and ensure a team member is available to assist you. Following the visit, we will send you a written summary of what was discussed and decided.
3.3 Carriage and delivery charges are quoted separately. Where we use a third-party delivery service, the delivery company carries its own insurance. Should any damage occur during delivery, we will investigate and, where the damage is minor, repair it at no charge to maintain good customer relations.
3.4 Holiday cut-off: orders and fabrics must be received by 15th December for pre-Christmas delivery.
3.5If an item is left in our workshop and you do not respond to our communications for three weeks or more, a daily storage charge of £25 to £40 will apply, depending on the size of the item and the space required.
3.6 It is your responsibility to ensure that the finished furniture can fit into your property, including through doorways, stairwells, and corridors. Kennington Upholstery Ltd will not be held responsible if an item does not fit into your premises.
4. Pricing & Payment
4.1 Rush orders will incur a surcharge of 20%.
4.2 The material invoice must be paid in full before we can order the fabric or leather from the supplier.
4.3For labour invoices under £3,600, full payment is required upfront. For labour invoices of £3,600 or more, 50% is required upfront and the balance is due once the work is completed (we will confirm completion with photographs) and before the delivery date. We do not deliver unpaid work.
4.4 It is your responsibility to verify that all invoice details are correct before making payment, including: your personal details and address, fabric or leather name, code and colour, material quantity, and the total amount. Please include the invoice number as a payment reference.
5. Insurance Claims
5.1 We undertake all work on behalf of the client named in the order. It is the named client who is responsible for payment of the account. Where insurance work is involved, we will proceed on the clear understanding that the account will be settled by the client when due, as described in clause 4.
5.2 For insurance-related work, 100% payment of materials and 100% payment of labour is due on acceptance of the estimate, unless a direct payment agreement exists between us and the insurer.
6. Issues, Complaints & Repairs
6.1 Any problems with an order, whether your fault or ours, must be brought to our attention within seven days of receipt. After this period, charges may apply for any corrections. We will not be held responsible for charges incurred if you have another company carry out corrections, and you will remain responsible for the original invoice.
6.2 Any issue, damage, or dissatisfaction with the work must be reported immediately upon receipt and before the item has been used, within a maximum of seven days. We can still assist with complaints reported after this period or after use, and will fix minor issues, but charges may apply for more significant work.
6.3Kennington Upholstery Ltd reserves the right to apply a minimum charge of £50.00 to repair accidental damage not caused by ourselves.
6.4Complaints will be dealt with as quickly as possible; successful resolution is always our prime objective. Complaints that cannot be resolved directly may be referred to The Association of Master Upholsterers & Soft Furnishers, who can arbitrate and suggest a course of action acceptable to both parties. 7. Cancellation
7.1 Either party has the right to cancel the order. Any payments already made will be returned, less any costs already incurred for materials ordered on your behalf.
7.2 If work has already commenced, both parties will agree on a fair charge based on the proportion of work completed and materials used. The remaining balance will be refunded accordingly.
7.3 For made-to-order furniture and products purchased through our online shop, cancellation is not possible once production has begun, as each piece is handcrafted specifically for your order.
8. Data Protection & Privacy
8.1 We collect and process your personal data (name, contact details, delivery address) solely for the purpose of fulfilling your order and communicating with you about your project. We do not share your data with third parties except where necessary to complete your order (e.g., delivery services).

9. Limitation of Liability
9.1 Our liability under this contract shall be limited to the value of the work and materials as stated in the agreed quotation. We shall not be liable for any indirect or consequential losses.
9.2 Nothing in these terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by law.
10. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
